Description
- We are a dynamic and innovative organisation dedicated to providing customised solutions to the mining industry by transforming waste into societal, environmental and economic value. As our GM: Commercial and Legal you will ensure that the organisation is commercially and legally astute, ensuring efficient and effective legal and commercial practices throughout. The role will drive a culture of strong commercial thinking, alignment as well as productive contract/ commercial negotiations with various parties. Support will be provided to all areas of the business.
RESPONSIBILITIES
Business/Functional Management
- Design policies, procedures, practices and identify legislative requirements for all areas, identify gaps, propose improvements and implement approved changes as required
- Provide support to operations on escalated commercial issues that may arise from conflicts between internal and external stakeholder requirements
- Lead commercial negotiations when establishing contractual scope of work and price adjustments and annual escalations.
- Provide guidance to compliance initiatives in terms of all legal requirements globally
- Setting and implementation of the commercial functional strategy as well as providing guidance on regional and project commercial issues within the company
Financial, Commercial and Contracts Management
- Maintain data on commercial contracting elements and trends
- Drive innovative commercial management throughout the organisation
- Manage commercial strategic risks
- Resolve contractual and commercial disputes
- Review Professional indemnity and other related insurances
- Guide commercial teams during their negotiations and administration of appropriate and timeous escalation on all contracts in their divisions
- Manage scope changes and contract variations
- Monitor subcontractor and supplier accounts from initial procurement through to final accounts
Risk Management, Compliance and ESG Responsibility
- Identify, analyse and develop responses to commercial risks
- Perform risk, value management and cost control
- Determine the Group commercial requirements for best practice, including the use of technology/digitisation to enhance the company’s commercial excellence practices
- Provide commercial and legal support to all ESG initiatives and new tech projects withing FA
Management Operating Systems and Reporting
- Ensure appropriate controls in place at point of execution, to inform management information, and report on trends and alignment to contract and programme
- Ensure organisations wide systems for collecting all relevant commercial data is accurately and on time, at point of execution, and provided to relevant stakeholders
- Conduct assessments of lost tenders to identify key learnings and to discuss these in appropriate forums
Requirements
QUALIFICATIONS
- Relevant commercial and legal qualification
EXPERIENCE
- 10-15 years Legal and or Mining experience
- Global commercial/legal experience will be advantageous
- First hand experience of Civil (Roman) law systems
SKILLS, QUALITIES AND ABILITIES REQUIRED
- Solid understanding of the Mining Industry
- Multilingual (French and Portuguse advantageous)
- Knowledge and understanding of the national legislation, standards and bylaws applicable to FA’s busines
- A working knowledge and understanding of technical and operational aspects core to the mining industry.
- Strong analytical ability
- Excellent Negotiation and persuasion skills
- Strong grasp of technology and good software skills
- Advanced report writing skills
- Excellent commercial awareness
